We work with management teams to help them acquire the business they currently manage and would like to own (management buy-out) or with teams who have identified a business they could add value to and would like to buy (management buy-in). Our advice includes:
developing a business plan and financial model;
preparing a short-list of potential funders who would be prepared to back the management team;
assisting with presentations to potential debt and equity funders and securing initial terms sheets from them;
assisting in the negotiations of detailed terms with a preferred funder(s) and working with the client through to agreed documentation; and
assisting the management team and the funder in negotiations with the vendors through to successful completion.
In addition to the above, Argyll Partners can introduce management teams to other relevant professional advisors such as lawyers and tax advisors to build the right advisory team. We can also assist with the recruitment of additional team members where such additions would improve the chances of success and introduce potential trade co-investors who could bring infrastructure as well as funding to a transaction.
